New model to streamline KMS governance

At its meeting last weekend, the KMS House of Delegates voted to change the organization's governance structure. Delegates approved restructuring the Council, with its 37 voting members, into a smaller Board of Trustees with 18 voting members. The amendments to KMS' governing documents also restructure the Executive Committee and establish specific guidelines which the Nominating Committee will utilize to help maintain a balanced and representative Board of Trustees.

In summary, the changes adopted by the House will:

  • Replace the current 18 council districts with 3 new districts (see attached map), representing the western, central and eastern areas of the state
  • Provide that each district will have two trustees, plus any county or component society with an active membership equal to or greater than 10% of the total KMS membership will be entitled to one district trustee. (No county can have more than one district trustee.)
  • Replace the Council with a new, smaller Board of Trustees, for the most part elected by the membership at large, which will meet quarterly. The BOT will be comprised of the six elected officers, six district trustees, plus two district trustees from counties with 10% of the active membership, two members of the AMA delegation, the KaMMCOChair, and KMS Legislative Committee Chair.
  • Include the following as nonvoting members of the new BOT: two remaining members of the KMS delegation to the AMA HOD, the President of the KMS Alliance, the Jimmie A. Gleason Fellow, and the Executive Vice Chancellor of the KU School of Medicine (or his designee).
  • Establish specific bylaws guidance for the Nominating Committee to help achieve and maintain a balanced and representative Board of Trustees.

The KMS Future Directions Task Force, whose report formed the basis of the delegates' action, will continue meeting over the coming year. They will review a number of other important issues including the future of the House of Delegates, structure of KMS membership, cost of membership and KMS' relationship with county medical societies. The final report will be considered at the 2014 Annual Meeting in Kansas City.
